Terms & Conditions

Program Overview

 

ISMS Rewards (“Program”) provides approved participants (“Associates”) with financial rewards for submitting qualified business leads, opportunities, and market information that result in sales for ISMS (“Company”).

 

Eligibility & Participation

  1. Participation is exclusive, invitation-only, and subject to Company approval.

  2. Participation is voluntary and may be discontinued by an Associate at any time.

  3. There are no participation fees, contracts, or minimum activity requirements.

  4. Associates participate as independent parties and are not employees, agents, or representatives of the Company.

  5. Participation is subject to the Associate’s employer or company policies, ethics rules, approval requirements, and applicable union or collective bargaining requirements.

  6. Associates are solely responsible for complying with all applicable federal, state, and local laws and regulations governing referral fees, commissions, commercial transactions, and business relationships.

Lead Submission & Protection

  1. All leads and opportunities must be submitted directly through the Program’s designated submission process to qualify for protection or compensation.

  2. Leads submitted directly to the Company instead of through the Program are not eligible for Program rewards. Intentional bypassing of the Program may result in removal from participation.

  3. Company will review submissions to determine whether they are valid, qualified, and eligible for protection.

  4. Opportunities previously submitted or protected by another Associate or Company are not eligible for duplicate protection or compensation.

  5. When available, the Program will notify an Associate if a submitted opportunity has already been protected and may provide the original protection date and time.

  6. Leads and information submitted through the Program will be treated as confidential and protected by the Program.

Associate Role

 

The Associate’s role is limited to making an initial introduction or connection. The Associate has no authority, responsibility, or involvement in project execution, including project management, pricing, scope, scheduling, installation, purchasing, contract negotiations, change orders, project decisions, or customer communications regarding execution.​​

Associates must not represent that they have authority to award, approve, manage, or control a project. The prospective customer remains solely responsible for evaluating Company and making purchasing decisions.

Compensation & Rewards
 

Associates may earn referral fees, commissions, bonuses, or other rewards when an eligible opportunity results in a completed sale for the Company, subject to applicable Program rules, verification, and payment policies.

 

Additional earnings may be available on future sales resulting from an Associate’s initial referral. Any residual or additional rewards will be determined on a case-by-case basis by the Company.

 

The Program may offer contests, promotions, bonuses, or special incentives. Each offer will have its own published terms, eligibility requirements, and award criteria. Winners will be determined the Company in accordance with the published rules.

Confidentiality

The Program will maintain the confidentiality of an Associate’s identity and contact information and will not disclose it to third parties without the Associate’s consent, except as required by law.

 

Each Associate will receive a unique identification number for Program communications, lead submissions, and account administration.

 

Associates must protect confidential information belonging to the Program or the Company and may not disclose, distribute, or use such information for unauthorized purposes. This obligation continues after participation ends.

Company-Provided Opportunities


At its discretion, the Program may provide Associates with leads, contacts, or market information to support business development for the Program and the Company.

Termination

Associates may discontinue participation at any time. The Program and Company may suspend or terminate participation, with or without cause, subject to applicable law and these Terms & Conditions.

 

Associates remain eligible for properly earned compensation for qualifying sales generated from eligible submissions made before termination, subject to Program rules, verification, and payment policies.

Program Changes

​

The Company reserves the right to modify, suspend, or discontinue the Program or any Program terms, compensation, incentives, eligibility requirements, or participation requirements at any time.

Acceptance of Terms

​

Participation in ISMS Rewards constitutes acceptance of these Terms & Conditions and any applicable Program rules, policies, and promotional terms.
